Agreement to Terms
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Participant,” “you,” or “your”) and Quiet Signal Labs, LLC (“Company,” “we,” “us,” or “our”), an Arizona limited liability company. By accessing our website at quietsignallabs.com (the “Site”), registering for a workshop or bootcamp, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our Site or services.
Eligibility
Our services are intended for individuals who are at least 18 years of age. By registering for a workshop or bootcamp, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.
Application & Registration
Participation in a workshop or bootcamp requires registration via our online form and, for paid programs, submission of payment to confirm your seat. Acceptance is at our sole discretion. Your seat is confirmed only upon successful registration or payment. All programs are limited to 10 participants. A confirmed seat is personal to the registered participant and may not be transferred or resold.
Pricing & Payment
All prices displayed on our Site are listed in United States dollars (USD). Payment is due at the time of registration, either in full or in installments if a payment plan is offered, and is processed securely through Stripe, Inc. Applicable sales tax will be calculated and added based on applicable tax regulations. We reserve the right to modify pricing for future programs at any time; however, any price change will not affect registrations that have already been confirmed. If a payment plan is offered and you fail to complete all scheduled payments, we reserve the right to revoke your seat.
Refund Policy & Launch Guarantee
We want you to feel confident in your registration. Our refund and guarantee policies are as follows:
Pre-Program Cancellation
- Before the workshop or bootcamp date — if you cancel before the scheduled date, you will receive a full refund, no questions asked
- After the program begins — no refund is available for partial attendance or withdrawal after the program has started
Satisfaction Guarantee
- If you attend the full workshop or bootcamp, do the work, and do not leave with a working project, you may attend the next available session at no additional cost
- The guarantee requires full attendance and good-faith participation, as determined by the instructor at his reasonable discretion
- The guarantee entitles you to one (1) additional session and does not include a cash refund
To request a refund (pre-program only), contact us at fco@quietsignallabs.com with your full name and registration confirmation. Approved refunds will be processed to the original payment method within five to ten (5–10) business days.
Program Changes & Cancellations
Quiet Signal Labs reserves the right to reschedule, relocate, or cancel any workshop or bootcamp at our discretion.
- If we cancel a program — all registered participants will receive a full refund within five to ten (5–10) business days
- If we reschedule or relocate — you may choose to attend on the new date or at the new location, or receive a full refund
- Instructor substitution — we reserve the right to substitute the instructor without prior notice; this does not entitle you to a refund
We will make reasonable efforts to notify registered participants of any changes via email as soon as practicable.
Participant Responsibilities
- You are required to bring your own laptop in working condition to each session. We provide all necessary software access, accounts, and learning materials.
- You are expected to attend the full scheduled session. Full attendance and participation is required for the Satisfaction Guarantee to apply.
- You agree to conduct yourself professionally and respectfully toward the instructor and fellow participants at all times.
- We reserve the right to remove any participant whose behavior is disruptive, harassing, or otherwise inappropriate, without refund.
- We are not responsible for any loss, theft, or damage to your personal belongings, including your laptop or other devices, during sessions.
Intellectual Property
All program materials, including but not limited to templates, prompt libraries, starter code, handouts, recordings, and digital resources provided before, during, or after any workshop or bootcamp (collectively, “Materials”), are the exclusive property of Quiet Signal Labs, LLC and are protected by applicable copyright and intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to use the Materials for your own personal and professional purposes. You may not:
- Reproduce, redistribute, or resell any Materials to third parties
- Publish, post, or share Materials publicly (including on social media, blogs, or file-sharing platforms)
- Use Materials to create competing products or services
- Remove or alter any copyright or proprietary notices from Materials
For clarity, the software products you build during any workshop or bootcamp are your own property. The restrictions above apply only to the curriculum, materials, and resources provided by Quiet Signal Labs — not to the applications, tools, or products you create as a participant.
Disclaimer of Warranties
Our Site and services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
Limitation of Liability
Quiet Signal Labs, LLC provides educational programs, including in-person workshops and bootcamps focused on AI tools and workflows. We do not guarantee specific business outcomes, revenue increases, productivity gains, or time savings. Individual results depend entirely on your own effort, application, and circumstances.
To the fullest extent permitted by applicable law, in no event shall Quiet Signal Labs, LLC, its members, managers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, arising out of or in connection with:
- Your use of or inability to use our Site or services
- Any content, materials, or information obtained from our programs
- Unauthorized access to or alteration of your data or transmissions
- Any third-party conduct or content related to our services
Our total aggregate liability for all claims arising out of or relating to these Terms or our services shall not exceed the amount you actually paid to us for the specific program giving rise to the claim.
Indemnification
You agree to indemnify, defend, and hold harmless Quiet Signal Labs, LLC and its members, managers, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your violation of these Terms, your use of our services, or your violation of any rights of a third party.
Third-Party Tools & Services
During workshops and bootcamps, we may demonstrate or use third-party AI tools, software, and platforms. These third-party services are governed by their own terms of service and privacy policies. Quiet Signal Labs does not endorse, warrant, or assume any responsibility for third-party tools, and your use of such tools is at your own risk.
Website Use
When using our Site, you agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to any portion of the Site or any systems connected to it
- Interfere with or disrupt the Site or servers or networks connected to it
- Use any automated means (bots, scrapers, etc.) to access the Site without our express written permission
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue resolution in the state or federal courts located in Maricopa County, Arizona. You hereby consent to the exclusive jurisdiction and venue of such courts.
You agree that any cause of action arising out of or related to our services must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of our Site or services after any modifications constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quiet Signal Labs, LLC regarding your use of our Site and services, and supersede all prior and contemporaneous agreements, representations, and understandings.
